This Scholar Funding Agreement (the “Agreement”) is entered into between Natro Promise Foundation, a foundation incorporated in the Dubai International Financial Centre (“DIFC”), United Arab Emirates, under Registration Number 13478, established pursuant to DIFC Law No. 3 of 2018 (the “Foundations Law”) (the “Foundation”), and the Scholar identified in the approved application on file with the Foundation (the “Scholar”). The Foundation and the Scholar are collectively referred to as the “Parties”.
1. Definitions
“Academic Year” means each academic year of the Scholar’s funded programme, as defined by the Host Institution.
“Council” means the governing body of the Foundation appointed in accordance with the Foundation’s By-Laws.
“Disbursement” means each scheduled payment of the Scholarship Award made by the Foundation to the Scholar or Host Institution.
“Founder” means Mr. David Natroshvili, the individual who established the Foundation.
“Host Institution” means the internationally recognised university or academic institution at which the Scholar is enrolled, as approved by the Foundation.
“Programme” means the postgraduate (Master’s level) degree programme approved in the Scholar’s application.
“Scholar Portal” means the Foundation’s secure online platform through which the Scholar submits reports and communicates with the Foundation.
“Scholarship Award” means the total financial support approved by the Council and communicated to the Scholar in writing.
2. Grant of Scholarship
- Subject to the terms of this Agreement and in accordance with the Foundation’s Charter and By-Laws, the Foundation agrees to provide the Scholarship Award to support the Scholar in completing the Programme at the Host Institution.
- The Scholarship Award is discretionary in nature and shall be applied exclusively for educational purposes directly related to the Programme, including tuition, accommodation, or living expenses as approved in the Scholar’s application.
- Designation as a Qualified Recipient and receipt of the Scholarship Award does not create any vested, proprietary, or enforceable right beyond the terms expressly confirmed in writing by the Foundation.
3. Disbursement Schedule
- The Scholarship Award shall be disbursed on a per-term basis in accordance with the schedule communicated to the Scholar through the Scholar Portal. Disbursement dates and amounts are set out in the Scholar’s approved funding schedule.
- All Disbursements are contingent upon the Scholar’s continued compliance with the academic and conduct requirements set out in this Agreement.
- The Foundation reserves the right to withhold, defer, or cancel any Disbursement upon breach of any term of this Agreement, without prejudice to any other remedy available to the Foundation.
4. Academic Requirements & Reporting Obligations
- The Scholar must maintain a minimum cumulative Grade Point Average (“GPA”) of 3.5 out of 4.0 (or the equivalent on the Host Institution’s grading scale) at the conclusion of each term throughout the funded period.
- The Scholar must submit official academic transcripts or score reports through the Scholar Portal within thirty (30) calendar days of the conclusion of each term.
- Failure to submit required academic reports within the prescribed deadline may result in suspension of all Disbursements pending review by the Council.
- A GPA falling below the minimum threshold in any term will trigger a formal academic review by the Council. Where the Scholar fails to restore the GPA to the required level in the immediately following term, the Foundation reserves the right to terminate this Agreement and all future Disbursements.
- The Foundation may at any time request additional academic documentation, including interim grade reports, course enrolment confirmations, or letters from the Host Institution, and the Scholar agrees to provide such documents promptly upon request.
5. Scholar Obligations
- The Scholar must remain enrolled as a full-time student in the approved Programme throughout the entire funded period.
- The Scholar must notify the Foundation immediately and in writing through the Scholar Portal of any of the following: (a) change of programme; (b) change of Host Institution; (c) interruption, suspension, or withdrawal from studies; (d) change of enrolment status from full-time to part-time; or (e) any academic disciplinary proceedings.
- The Scholar shall not use any portion of the Scholarship Award for purposes other than those approved in the funding application.
- The Scholar agrees to participate in Foundation events, panel discussions, or mentorship activities as reasonably requested by the Foundation, with reasonable advance notice.
- The Scholar grants the Foundation the right to reference the Scholar’s name, nationality, Host Institution, and Programme in Foundation publications, promotional materials, and donor communications, unless the Scholar notifies the Foundation in writing of a specific objection.
- The Scholar agrees to act as an ambassador of academic integrity and Georgian excellence throughout the funded period and beyond.
6. Communication & Scholar Portal
- The Scholar Portal shall be the exclusive channel for all official communications between the Scholar and the Foundation, including report submission, disbursement notifications, and formal correspondence.
- The Scholar agrees to check the Scholar Portal regularly and to respond to any message or request from the Foundation within five (5) business days of receipt of notification.
- Email notifications from the Foundation shall serve as notice only. Substantive communications shall be read and replied to exclusively through the Scholar Portal.
7. Suspension and Termination
- The Foundation may suspend Disbursements immediately and without prior notice where: (a) the Scholar fails to submit a required academic report; (b) the Scholar’s GPA falls below the minimum threshold; or (c) the Foundation has reasonable cause to investigate a potential breach of this Agreement.
- The Foundation may terminate this Agreement by written notice to the Scholar where: (a) the Scholar fails to meet academic requirements for two consecutive terms; (b) the Scholar provides materially false or misleading information in connection with the application or any report; (c) the Scholar breaches any material obligation under this Agreement and fails to remedy such breach within fourteen (14) calendar days of written notice; or (d) the Scholar withdraws from, or is expelled from, the Programme or Host Institution.
- The Scholar may withdraw from the scholarship at any time by providing written notice to the Foundation through the Scholar Portal. Any Disbursements already made prior to the date of withdrawal are non-refundable unless the Foundation establishes fraud or material misrepresentation.
- Termination of this Agreement shall not affect any accrued obligations or rights of either Party arising prior to the date of termination.
8. Confidentiality
All information exchanged between the Scholar and the Foundation in connection with this Agreement, including financial terms, academic records, and correspondence, shall be treated as confidential by both Parties and shall not be disclosed to any third party without prior written consent, except as required by applicable law or regulatory authority.
9. Governing Law & Jurisdiction
- This Agreement and all matters arising in connection with it shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”), United Arab Emirates.
- The Parties irrevocably submit to the exclusive jurisdiction of the Courts of the DIFC in respect of any dispute or claim arising out of or in connection with this Agreement, its subject matter, or its formation.
10. Entire Agreement
This Agreement, together with the Scholar’s approved application, the Foundation’s Charter, and the Foundation’s By-Laws (as amended from time to time), constitutes the entire agreement between the Parties in relation to the subject matter hereof and supersedes all prior representations, agreements, or understandings, whether written or oral.
